License Agreement

RIVOT MOTORS India Private Limited, a company incorporated under the Companies Act, 1956 and having its registered address at Fifth Floor, Oneness, 1st Cross, 1st Main, Sadashivnagar, Belagavi, Karnataka - 590001 (hereinafter referred to as “RIVOT®” or “We” or “Our” or “Us”) provides this License Agreement (“Agreement”) governing the use of RIVOT branded electric two-wheeled vehicles (“Vehicle”) and associated software, services, and documentation (collectively, the “Product”) to customers (hereinafter referred to as “Customer” or “You” or “Your”).

Please read and understand this Agreement carefully. By using the Product, You agree to be bound by the terms of this Agreement. If You do not agree with these terms, do not use the Product. Your use of the Product constitutes acceptance of this Agreement and any applicable policies published by RIVOT on its website (from time to time).

1. Grant of License

Subject to the terms of this Agreement, RIVOT grants You a limited, non-exclusive, non-transferable, revocable license to use the Product solely for personal, non-commercial purposes in accordance with its intended functionality and applicable laws.

• You may not modify, reverse engineer, decompile, or disassemble any part of the Product, including its software or hardware components, except as expressly permitted by applicable law.
• The license does not grant You ownership of the Product or any intellectual property rights associated with it. All rights, title, and interest in the Product remain with RIVOT.
• You may not sublicense, rent, lease, or otherwise distribute the Product or any portion thereof to third parties without prior written consent from RIVOT.
• Any unauthorized use of the Product will terminate the license granted herein and may result in legal action by RIVOT.

2. Restrictions on Use

• You agree to use the Product only for lawful purposes and in compliance with all applicable local, national, and international laws, rules, and regulations.
• You shall not use the Product in any manner that could damage, disable, overburden, or impair RIVOT’s systems or networks, or interfere with any other party’s use of the Product.
• You are prohibited from using the Product in a way that infringes upon the intellectual property rights of RIVOT or any third party, including but not limited to trademarks, patents, or copyrights.
• Any modifications or alterations to the Vehicle’s hardware or software without RIVOT’s prior approval may void warranties and terminate this license.

3. Updates and Maintenance

RIVOT may, at its discretion, provide updates, patches, or upgrades to the Product’s software or hardware to improve functionality, security, or performance. Such updates are subject to the terms of this Agreement unless otherwise specified.

• You agree to install any mandatory updates provided by RIVOT to ensure the Product’s safe and proper operation.
• RIVOT is not obligated to provide updates or maintenance unless explicitly stated in a separate service agreement or warranty.
• Failure to install updates may result in reduced functionality or termination of support services for the Product.

4. Termination

This Agreement is effective until terminated. RIVOT may terminate this Agreement immediately if You breach any of its terms. Upon termination, You must cease all use of the Product and destroy any copies of associated software in Your possession.

RIVOT reserves the right to suspend or discontinue access to any software or services associated with the Product at its sole discretion, with or without notice.
